These Terms & Conditions ("Terms") govern your use of akumakaizen.com and any online purchase, registration, or booking made through it (together, the "Site"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site. 

 1. WHO WE ARE 

The Site is operated by AKUMA Kaizen, LLC, a Nevada limited liability company doing business as MASSFx Combat Athletics ("MASSFx," "we," "us"), located at 6250 Mountain Vista St Unit D-1, Henderson, NV 89014. 

 2. YOUR MEMBERSHIP AGREEMENT CONTROLS 

Memberships, classes, and training are governed by the signed documents for each participant: the Founding Member Agreement or Regular Member Agreement (including Exhibit A, Tier Access & Perks), the Liability Waiver and Release of Claims, and the Member Code of Conduct. These Terms do not change those documents. If these Terms conflict with a signed agreement, the signed agreement controls.  

3. ELIGIBILITY & MINORS 

You must be at least 18 to make a purchase or create an account on the Site. A participant under 18 must be enrolled by a parent or legal guardian, who signs all required documents and is financially responsible for that participant's charges. The Site is not directed to children under 13, and we do not knowingly collect personal information directly from them.  

4. PRICING & ONLINE PURCHASES 

Prices, programs, schedules, and promotions shown on the Site may change at any time. Your membership rate is the one recorded in your signed agreement at enrollment. If a price or description on the Site contains an error, we may correct it and cancel or adjust any affected order before it is fulfilled.  Founding Membership is a limited, launch-only offer. It is capped at ten (10) spots per tier and closes January 31, 2027, or earlier if spots fill. Founding rates are available month-to-month only and are subject to the continuous-enrollment conditions in the Founding Member Agreement.  

5. PAYMENTS, REFUNDS & CANCELLATIONS 

Billing, refunds, holds, cancellations, and fees are governed by your signed agreement. Testing, seminar, and event fees are governed by the terms in your agreement and the current published fee schedule. Nothing in these Terms limits any cancellation or refund right you have under Nevada law. To cancel or request a refund or hold, follow the notice instructions in your agreement or email [admin@massfxcombat.com].  

6. REQUIRED DOCUMENTS BEFORE TRAINING 

No one may participate in any class, trial, drop-in, seminar, testing, or event until the following are signed: the applicable Liability Waiver (Adult or Minor), the Member Code of Conduct acknowledgment, and the Emergency Contact & Medical Information form. Booking or paying online does not replace these documents.  

7. ASSUMPTION OF RISK 

Martial arts, stick fighting, sparring, and conditioning involve physical contact and carry inherent risks of injury, including serious injury. Information on the Site is general and educational. It is not medical advice. Consult a physician before beginning any training program.  

8. SEMINARS, TESTING & THIRD-PARTY EVENTS 

Seminars, workshops, rank testing, and special events are priced separately unless your membership tier includes them. Rank testing eligibility is at the instructor's discretion. Events held by independent trainers or outside organizers who rent our facility are not MASSFx events. Membership benefits do not apply to them, and those events are governed by the organizer's own terms, prices, and payment policies.  

9. PERSONAL TRAINING 

Personal Training is not part of any membership. It is priced, contracted, and waived separately under its own agreement and release.  

10. SCHEDULES & FACILITY CLOSURES 

Class times and offerings may change with reasonable notice. If in-person classes are suspended because of events beyond our reasonable control, closures are handled as described in your membership agreement.  

11. PHOTOS & VIDEO 

We may photograph or record classes and events. Use of a participant's image is governed by the optional Photo & Video Consent form on file. Members and visitors may not photograph or record others without their consent, as stated in the Member Code of Conduct.  

12. INTELLECTUAL PROPERTY 

All Site content, including text, video, images, logos, curriculum materials, and the names and marks MASSFx Combat Athletics, AKUMA Kaizen, and AKSEPT Evolution, is owned by or licensed to AKUMA Kaizen, LLC and protected by law. Any online training content we provide is licensed for your personal, non-commercial use only. You may not copy, record, share, resell, or redistribute Site content, online lessons, or class instruction, or use our curriculum or marks to teach or promote outside programs, without our written permission.  

13. ACCEPTABLE USE 

You agree not to: misuse the Site or interfere with its operation; attempt to gain unauthorized access to accounts, systems, or data; share your account login; submit false information; or use the Site for any unlawful purpose. We may suspend or terminate Site access for violations.  

14. THIRD-PARTY SERVICES 

Payments, scheduling, and member accounts may be processed through third-party providers. Your use of those services is also subject to their terms and privacy policies. We are not responsible for third-party websites or services linked from the Site.  

15. PRIVACY 

Our collection and use of personal information is described in our Privacy Policy: [LINK].  

16. DISCLAIMERS 

The Site is provided "as is" and "as available." To the fullest extent permitted by law, we make no warranties about its availability, accuracy, or fitness for a particular purpose, and we do not guarantee any particular fitness, rank, or competitive result.  

17. LIMITATION OF LIABILITY 

To the fullest extent permitted by Nevada law, MASSFx is not liable for indirect, incidental, or consequential damages arising from your use of the Site. Liability for training and participation is governed by the Liability Waiver and your membership agreement. Nothing in these Terms limits liability that cannot lawfully be limited.  

18. INDEMNIFICATION 

You agree to indemnify and hold harmless AKUMA Kaizen, LLC and its owners, instructors, and staff from claims arising out of your misuse of the Site or your violation of these Terms.  

19. GOVERNING LAW & VENUE 

These Terms are governed by the laws of the State of Nevada. Any action arising from them must be brought exclusively in the Eighth Judicial District Court of Nevada, Clark County.  

20. CHANGES TO THESE TERMS 

We may update these Terms from time to time. Changes take effect when posted, with the "Last updated" date revised. Your continued use of the Site after changes are posted means you accept them.
